Contractual Agreement Between Afyabook and The Vendor
This Agreement ("Agreement") is entered into on this day between Afyabook, a health tech company specializing in online pharmacy and healthcare services, located at Aqua Plaza, Muranga road, Nairobi and vendor, a healthcare service provider. Collectively referred to as the "Parties."
1. Purpose of the Agreement
The purpose of this Agreement is to set the terms and conditions under which Afyabook will partner with the vendor who will provide healthcare services.
2. Obligations of Afyabook
- Afyabook shall link the provider to patients, provide workflow tools as per the package selected and maintain and secure the software platforms.
- Afyabook shall not be responsible for overseeing or managing the services provided by the vendor.
3. Obligations of the Vendor
- The vendor agrees to provide exceptional healthcare services.
- The vendor shall ensure that all services are conducted in accordance with applicable healthcare laws and professional standards.
- The vendor shall provide all necessary human resources to facilitate high-quality patient care.
4. Service Quality Assurance
The vendor agrees to maintain high standards of professionalism and quality in all services provided under this Agreement.
5. Indemnity Clause
The vendor agrees to indemnify, defend, and hold harmless Afyabook, its employees, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including but not limited to reasonable attorney fees) arising from or in connection with any patient care mistakes or negligence related to the services provided by the vendor.
6. Renegotiation Clause
- This Agreement shall be effective for an initial period of six (6) months from the date of signing.
- The Parties agree to renegotiate the terms and conditions of this Agreement after the initial six-month period. If the Parties are unable to reach a new agreement, this contract will be subject to termination as outlined in the termination clause.
7. Termination Clause
Either party may terminate this Agreement with 30 days notice should the terms be violated or if a mutual agreement to continue cannot be reached after the renegotiation period.
8. Confidentiality
Both Parties agree to maintain the confidentiality of any proprietary information exchanged during the term of this Agreement.
9. Governing Law
The laws of Kenya shall govern this Agreement.
10. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, representations, or understandings, whether written or oral.
11. Amendment Clause
Any amendments to this Agreement shall be made in writing and signed by both Parties.
